Q. Why was Peplin Limited restructured under the U.S.-based parent, Peplin, Inc. in October 2007?

A. The shareholder-approved restructure of Peplin will enable the Peplin group to achieve its strategic goals as it is expected to:

• enhance its ability to access the U.S. capital and international markets;
• enhance its ability to attract and retain key staff with industry knowledge and experience who can advance the development and commercialization of its products in development;
• enhance its ability to effectively manage and grow its business through alignment of its executive locations with its key markets;
• enhance its ability to pursue acquisitions, in-licensing and other growth and diversifying opportunities in accordance with its strategic plans;
• brings its external reporting more into line with that of many of its peers, which the board of directors believes could result in increased comparability and enhanced market understanding of its business and prospects; and
• enable it to be a dual-listed, publicly owned company as it continues to grow internationally.
